Partner Terms of Service

Effective date: June 17, 2026

1. Introduction

These Partner Terms of Service (“Partner Terms”) govern your use of the PennySlice Partner Portal and partner features offered by Zednest Tech Ltd. (“PennySlice”, “we”, “us”, “our”). These Partner Terms are an extension of and incorporate by reference the PennySlice Terms of Service (“Main Terms”). By accepting a partner account you agree to both documents. In the event of a conflict between these Partner Terms and the Main Terms, these Partner Terms prevail with respect to the partner relationship.

2. Eligibility and Account

To hold a partner account you must:

Be at least 18 years of age.
Be legally authorized to provide financial coaching or advisory services in your jurisdiction. PennySlice does not verify professional credentials or licenses — you are solely responsible for ensuring you hold any credentials, registrations, or licenses required by the laws of your jurisdiction.
Provide accurate and complete business or professional information when requested.
Keep your partner account credentials secure and not share access with any other individual or organization.

3. Partner Account Creation

Partner accounts are created by PennySlice upon review and approval of your application. There is no self-service registration for partner accounts. PennySlice reserves the right to decline any application for partner status and to suspend or revoke partner status at any time, at our sole discretion, with or without notice.

4. Data Access and Restrictions

As a partner, you may access the following information for clients who have explicitly consented to share their data with you:

Budget summaries (total budgeted vs. spent per period).
Spending totals aggregated by category.
AI financial health scores.
Co-branded monthly reports.
Coaching notes you have added.

You may NOT access:

Individual transaction records.
Merchant names or transaction amounts.
Receipt images or OCR data.
AI chat history or conversation transcripts.
Bank account details, credentials, or connection metadata.

You may edit a client’s budget limits for the current and future months. Past months are read-only. You may add coaching notes that are visible to the client within the PennySlice platform.

5. Confidentiality

You must treat all client data accessible through the Partner Portal as strictly confidential. You must not:

Export, screenshot, copy, or share client financial summaries outside the PennySlice platform without explicit written consent from the client.
Use client data for any purpose other than providing financial coaching services to that client within PennySlice.
Retain or store client financial data outside of PennySlice after your coach/advisor relationship with that client has ended.

These confidentiality obligations survive the termination of your partner account.

6. Client Relationship

You are solely responsible for:

The quality and accuracy of your financial coaching.
Any advice given to clients based on PennySlice data or AI outputs.
Compliance with all laws and regulations in your jurisdiction governing financial advice, coaching, or advisory services.
Maintaining any professional licenses, registrations, or credentials required in your jurisdiction.

PennySlice does not regulate, supervise, or take any responsibility for your coaching activities. Partner–client relationships are independent of PennySlice, and PennySlice is not a party to any agreement between you and your clients.

7. Client Consent and Invites

You may invite existing PennySlice account holders to connect with you as a partner. Clients must explicitly consent to data sharing when accepting a partner invite. Clients may revoke your access at any time. Invite links expire 14 days after they are issued. You must not use the invite functionality to spam or harass prospective clients.

8. Client Rights and Consent

If you are a client who has accepted a partner invite, this section applies to you. By accepting a partner invitation and creating or linking your PennySlice account, you acknowledge and agree to the following:

8.1 What You Consent to Share

By accepting a partner invite, you consent to your coach/advisor viewing:

Budget summaries (total budgeted vs. spent per period)
Spending totals aggregated by category
AI-generated financial health scores
Co-branded monthly reports
Coaching notes added by your coach/advisor

8.2 What Is NOT Shared

Your coach/advisor cannot see:

Individual transaction records or amounts
Merchant names or transaction descriptions
Receipt images or scanned receipt data
AI chat history or conversation transcripts
Bank account details, account numbers, or login credentials
Your email address, password, or personal login information

8.3 Budget Editing

By accepting a partner invite, you consent to your coach/advisor editing your budget limits for the current and future months. Your partner cannot modify past budget data. You may override any changes your coach/advisor makes to your budgets at any time through the PennySlice web app.

8.4 AI Health Score

The financial health score visible to your coach/advisor is generated by PennySlice’s AI system based on your spending patterns, budget adherence, and financial behaviour. This score is not a professional financial assessment and should not be treated as one. It is an automated indicator intended to help your coach identify areas where you may benefit from guidance. The score may be inaccurate, incomplete, or not reflective of your full financial situation.

8.5 Ending the Relationship

You may end your coach/advisor relationship at any time from your account settings. When you do:

Your coach/advisor’s access to your data is immediately and permanently revoked
You retain all of your financial data (transactions, budgets, categories, receipts, and AI history) in full
Your account is moved to the free Track plan — you may upgrade to any paid plan independently at any time
Coaching notes created by your coach/advisor remain visible to you but are no longer editable by the partner

8.6 Client Obligations

As a partner client, you agree to:

Provide accurate financial data — your coach/advisor’s coaching is only as useful as the data you provide
Not hold PennySlice responsible for any advice, recommendations, or actions taken by your coach/advisor based on data visible through the platform
Understand that PennySlice facilitates the partner–client connection but is not a party to any coaching agreement between you and your coach/advisor

9. Co-Branded Reports

Partners may use the co-branded report feature to generate monthly reports containing their logo, name, and aggregated client financial summaries. These reports are for use within the partner–client relationship only and must not be redistributed, published, or shared with third parties without the client’s explicit written consent. All PennySlice data contained within co-branded reports remains subject to the PennySlice Privacy Policy.

10. Client Limits and Fair Use

Partner accounts are subject to a maximum number of active clients based on your partner plan. PennySlice reserves the right to enforce these limits at any time. Bulk invite spamming, creating multiple partner accounts to circumvent client limits, or any other attempt to bypass plan restrictions is prohibited and may result in immediate account termination.

11. Prohibited Conduct

As a partner, you must not:

Use client data for marketing, advertising, or any purpose outside the direct coaching relationship with that client.
Share, sell, transfer, or otherwise provide access to your partner account to any other person or entity.
Use PennySlice to provide unauthorized investment advice, tax advice, or any other regulated financial service for which you do not hold the required license or authorization.
Make representations — oral, written, or otherwise — that PennySlice endorses, certifies, or is affiliated with your services beyond the use of the platform.
Use the Partner Portal for any illegal purpose or in violation of any applicable law or regulation.

12. Intellectual Property

You may use the PennySlice name and logo only as expressly permitted in writing by Zednest Tech Ltd. Co-branded monthly reports may include your own logo and name alongside PennySlice branding as provided by the platform. PennySlice retains all rights, title, and interest in and to the PennySlice platform, AI models and outputs, trademarks, and all data generated within the Service.

13. Termination

PennySlice may suspend or terminate your partner account at any time for violation of these Partner Terms or the Main Terms, for inactivity, or for any other reason, with or without notice. Upon termination, all access to client data through the Partner Portal is immediately and permanently revoked.

Termination of your partner account does not affect your personal PennySlice user account (if any), which remains governed by the Main Terms.

You may voluntarily cease your partner relationship at any time by contacting support@pennyslice.ai.

14. Client Impact of Termination

When a partner account is terminated or when a client independently ends the partner relationship, the affected client is moved to the free Track plan. The client retains all of their financial data in full. The client may upgrade to any paid PennySlice plan independently at any time.

15. Limitation of Liability

PennySlice is not liable for:

The quality, accuracy, or outcomes of your financial coaching services.
Any decisions made by clients based on your advice or on PennySlice data or AI outputs.
Any losses, damages, or claims arising from your breach of these Partner Terms or your professional obligations.

Section 20 (Limitation of Liability) of the Main Terms of Service applies in full to the partner relationship and is incorporated here by reference.

16. Indemnification

You agree to indemnify, defend, and hold harmless Zednest Tech Ltd., its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your financial coaching activities; (b) your breach of these Partner Terms or the Main Terms; (c) your breach of any applicable professional regulations or licensing requirements; or (d) your unauthorized use or disclosure of client data.

17. Governing Law

These Partner Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles. Any dispute arising under or in connection with these Partner Terms is subject to the exclusive jurisdiction of the courts of British Columbia, Canada.

18. Changes to These Terms

PennySlice may update these Partner Terms from time to time. We will provide active partners with at least 30 days’ notice of material changes via email to the address associated with your partner account. Continued use of the Partner Portal after the effective date of the updated terms constitutes your acceptance of those changes.
