Beta Program Terms

1. Beta Program Overview
These Beta Program Terms (“Beta Terms”) govern your participation in the PennySlice beta program operated by Zednest Tech Ltd. (“PennySlice”, “we”, “us”, “our”). These Beta Terms are supplemental to and incorporate by reference the PennySlice Terms of Service (“Main Terms”) and Privacy Policy. By participating in the beta program, you agree to both these Beta Terms and the Main Terms. In the event of a conflict, these Beta Terms prevail for the duration of the beta period.
2. Beta Status & Service Availability
PennySlice is currently in beta. This means the Service is still under active development and has not yet reached general availability. As a beta participant, you acknowledge and agree that:
- The Service may contain bugs, errors, or inaccuracies that could affect functionality, data display, or calculations.
- Features may be added, modified, deprecated, or removed at any time without prior notice.
- The Service may experience downtime, interruptions, or performance degradation.
- Pricing plans, feature availability, subscription tiers, and usage limits are subject to change. Any pricing offered during the beta period is considered promotional and may be adjusted at general availability.
- We may reset, migrate, or restructure data as part of ongoing development. While we will make commercially reasonable efforts to preserve your data, we cannot guarantee that all data will survive beta transitions.
3. AI Features & Accuracy Disclaimer
PennySlice uses artificial intelligence and machine learning (“AI”) for transaction categorization, spending predictions, financial insights, natural language chat, receipt scanning, and other features. You acknowledge that:
- AI outputs are not financial advice. PennySlice is an expense tracking and intelligence tool, not a licensed financial advisor. AI-generated insights, predictions, and recommendations are informational only. You should not make financial decisions based solely on AI outputs without consulting a qualified professional.
- AI may produce inaccurate results. Transaction categorization, spending predictions (Penny Spotter), what-if scenarios (Penny Pulse), and monthly reports (Penny Reports) rely on machine learning models that may misclassify, miscalculate, or produce incorrect outputs. During the beta period, AI accuracy is still being refined and improved.
- Receipt scanning may contain errors. Optical character recognition (OCR) of receipts and documents may misinterpret text, amounts, dates, or merchant names. Always verify scanned data against the original document.
- PennySlice is not responsible for decisions made based on AI outputs. We disclaim any liability for financial losses, tax errors, budgeting mistakes, or other consequences arising from reliance on AI-generated information. You are solely responsible for verifying the accuracy of all data and outputs.
- AI models are immature and evolving. The AI models used during the beta period are early-stage and will continue to improve over time. Categorization accuracy, prediction quality, and natural language understanding may be inconsistent, especially for unusual transaction patterns, non-English merchants, or regional spending habits.
4. AI Learning & Data Training
To improve categorization accuracy and AI features for all users, PennySlice may use anonymized, aggregated data from participants. This includes:
- Import file structures — how bank export files are formatted (column layouts, date formats) to improve automatic detection for future imports.
- Categorization corrections — when you correct how a transaction is categorized, the corrected merchant-to-category mapping may be used to improve categorization for other users with similar transactions.
Your personal details (names, account numbers, exact amounts, email addresses) are never used for AI training. Only structural patterns and anonymized category mappings are retained.
You may opt out of data training at any time through Settings > Privacy > AI Data Training. When opted out, your corrections and import structures will not be used to improve AI for other users, though they will still be used to personalize your own experience.
5. Data Handling During Beta
During the beta period, our data handling practices may evolve as we finalize compliance requirements. You acknowledge that:
- Data storage locations, encryption methods, and retention policies may be updated as we prepare for general availability.
- We may introduce new data processing practices or third-party integrations with reasonable notice.
- We will make commercially reasonable efforts to protect your data in accordance with our Privacy Policy, but the beta nature of the Service means that security measures are still being hardened.
- You should not use PennySlice as your sole record of financial transactions. Always maintain your own records and backups through your financial institution.
6. Feedback & Bug Reports
We encourage beta participants to report bugs, suggest improvements, and provide feedback. By submitting feedback:
- You grant PennySlice a perpetual, irrevocable, royalty-free license to use, modify, and incorporate your feedback into the Service without obligation to you.
- Bug reports and feature requests do not create any obligation for us to implement changes or fix issues within any specific timeframe.
- You agree not to submit feedback that contains confidential information belonging to third parties.
7. No Warranty & Limitation of Liability
The Service is provided “AS IS” and “AS AVAILABLE” during the beta period, without warranties of any kind, whether express, implied, or statutory, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- Warranties of accuracy, reliability, or completeness of AI outputs
- Warranties of uninterrupted or error-free operation
- Warranties that the Service will meet your specific requirements
To the maximum extent permitted by applicable law, PennySlice and Zednest Tech Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of data, financial losses from incorrect categorization or predictions, tax filing errors based on AI-generated reports, or business interruption, arising out of or in connection with your use of the Service during the beta period.
Our total aggregate liability for any claims arising from the beta program shall not exceed the amount you have paid for the Service in the twelve (12) months preceding the claim, or fifty Canadian dollars (CAD $50), whichever is greater.
8. Beta Program Duration & Transition
The beta period will continue until PennySlice announces general availability. At that time:
- These Beta Terms will be superseded by updated Terms of Service applicable to the generally available product.
- Beta pricing and promotional offers may expire or change. We will provide at least 30 days’ notice before any pricing changes take effect for existing beta users.
- Your data and account will carry over to the generally available product unless you choose to delete your account before the transition.
- We may offer beta participants special pricing or benefits as a thank-you for early participation, at our sole discretion.
9. Account Termination
You may terminate your beta participation at any time by deleting your account through Settings > Security. We may also terminate or suspend your beta access at any time, with or without cause, including but not limited to violations of these Beta Terms, the Main Terms, or abusive use of AI features (as described in our Fair AI Usage Policy).
Upon termination, your data will be retained for 30 days (the grace period), after which it will be permanently deleted in accordance with our data retention policies.
10. Governing Law
These Beta Terms are governed by and construed in accordance with the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein. Any disputes arising from these Beta Terms shall be resolved in the courts of British Columbia.
11. Product Updates & Marketing
By participating in the beta program, you agree to receive occasional emails from PennySlice, including:
- Product updates — new feature announcements, beta program news, and important service changes
- AI tips — personalized suggestions for getting the most out of PennySlice’s AI features
- Marketing — promotional offers, plan upgrades, and special beta participant benefits
You may opt out of any of these at any time through Settings > Notifications. Service notifications (spending alerts, budget warnings, reports) are covered separately in the Terms of Service (Section 13).
12. Changes to These Terms
We may update these Beta Terms at any time. Material changes will be communicated via email or in-app notification. Your continued use of the Service after such notification constitutes acceptance of the updated terms. If you do not agree with the updated terms, you must stop using the Service and delete your account.
